Affiliate Program Terms & Conditions

Welcome to the Innolance Affiliate Program (“Program”). These Terms and Conditions (“Agreement”) govern your participation in the Program, operated by Innolance, Inc. (“Innolance,” “we,” “our,” or “us”).

By enrolling in the Program through PartnerStack, you agree to comply with this Agreement, as well as our General Terms and Conditions.

1. Program Enrollment

• Affiliates must apply through PartnerStack.

• Enrollment is subject to Innolance approval. We may accept or reject applications at our sole discretion.

2. Affiliate Responsibilities

Affiliates agree to:

• Promote Innolance services lawfully and ethically.

• Disclose affiliate relationships in compliance with FTC guidelines.

• Avoid:

  • Spam, misleading, or deceptive advertising

  • Misrepresentation of Innolance services

  • Unauthorized use of Innolance trademarks, domains, or paid search bidding on brand terms

3. Referral Links & Tracking

• PartnerStack provides your unique affiliate link containing a partner_key or xID.

• Only referrals tracked through PartnerStack that result in a qualified purchase are eligible for commission.

• You are responsible for ensuring proper link usage.

4. Qualified Referrals

A Qualified Referral is a new Innolance customer who:

• Arrives via your affiliate link

• Purchases eligible services

• Remains in good standing (no fraud, chargeback, or cancellation within 30 days)

Existing customers or prospects already in Innolance’s CRM may not count as Qualified Referrals.

5. Commission & Payment

• Standard commission: 10% per closed customer deal, capped at $750 per referral (unless otherwise specified).

• Calculated from net contract value received by Innolance.

• Paid via PartnerStack within 7 business days after customer payment.

• Launch bonuses, milestone incentives, or promotions may apply as communicated in writing.

6. Restrictions on Promotion

Affiliates may not:

• Use cookie stuffing or hidden iframes

• Register domains or handles containing “Innolance” without approval

• Run paid ads impersonating Innolance

Violations may result in withheld commissions and termination.

7. Relationship of Parties

• Affiliates are independent contractors, not employees, agents, or legal representatives of Innolance.

• This Agreement does not create a partnership, joint venture, or employment relationship.

8. Term & Termination

• Agreement begins upon acceptance into the Program and continues until terminated.

• Either party may terminate at any time, with or without cause, via PartnerStack.

• Approved but unpaid commissions earned prior to termination will be paid per Section 5.

9. Limitation of Liability

• Innolance will not be liable for indirect, incidental, or consequential damages related to this Program.

• Our maximum liability shall not exceed the commissions paid to you in the prior six (6) months.

10. Modifications

• Innolance may update these Terms at any time.

• Updates will be posted here or communicated via PartnerStack.

• Continued participation constitutes acceptance of revised Terms.

11. Governing Law

This Agreement is governed by the laws of the Commonwealth of Virginia, USA, without regard to conflict of law provisions.
